Special Purpose Vehicles

An ADGM special purpose vehicle is a lean company for holding assets – shares, real estate, intellectual property or loan receivables – kept apart from your operating business.

SPVs are among the most widely used structures in ADGM. Because they do not trade, employ staff or lease offices, they come with lower fees and fewer ongoing obligations than an operating company. What they do is hold and ring-fence assets, often as part of a group, a family office or a financing.

An SPV that is not exempt has to be registered through an ADGM-licensed company service provider. We set up the company, provide its registered office, act as its registered agent and keep its filings in order.

Every ADGM SPV needs at least one director who is a natural person and an authorised signatory who is resident in the UAE or is a GCC national. At the start we tell you which requirements apply to your structure and how they can be met.

Typical uses

Holding companies

Shareholdings in UAE and foreign companies held in one place – above an operating group or as part of a family office.

Real estate

Property in the UAE or abroad held through a company rather than in your own name.

Financing and co-investments

Assets ring-fenced for a financing, a joint venture or a co-investment with partners.

Intellectual property

Trademarks, software and other rights kept in a separate company that licenses them to the operating businesses.
